Richard Kranitz practices in the areas of business and nonprofit law. Over his lengthy legal career he has represented entrepreneurs and businesses in a variety of industries and at alll stages of development from startups to hundred year old companies. He has had substantial experience in tax planning, securities, litigation and estate planning, but currently focuses on transactional work for businesses and nonprofit entities and estate planning for business owners and other individuals. He served as an officer and/or director of numerous businesses ranging in size from startup to firms with hundreds of investors.

Thoughout his career he has also represented many non-profit entities, including professional, community and charitable organizations, educational institutions, foundations and economic development groups. He has served as an officer and/or director of many of them.
 
He served many of his clients over long periods of time. Some were rapid-growth entities. Because of his experience as an officer and/or director of many of them, he has developed substantial experience in dealing with the opportunities and challenges of rapidly developing enterprises. He is trained and experienced as a business coach, and devotes some time currently to assisting clients on business issues.
 
Some of his clients have conducted business outside the United States. He has been involved in business development projects overseas in several countries and served on the boards of foreign companies.

Experience
  • Planning and forming corporations, partnerships, limited liability companies, limited partnerships, business trusts, and international enterprises, joint ventures and multi-company groups.
  • Business purchase and sale transactions, mergers, divestitures, spin-offs and liquidations.
  • Negotiation and drafting a great variety of business-related contracts and agreements.
  • Financing businesses through many types of equity investments and loans, government programs, tax-advantaged financing arrangements, franchising, licensing and other arrangements.
  • Estate planning for individuals and trusts, with experience in business succession planning.
  • Litigation in Wisconsin and Federal courts, with emphasis on commercial and business litigation.
  • Non-profit organizations including public charities and private foundations, educational institutions, economic development organizations and professional organizations.
 
Education

Graduate of University of Wisconsin Law School, graduating in the top 10% of his class; and the University of Wisconsin – Milwaukee undergraduate with Honors. College Debater. Certified as  Business Coach. After graduation from law school served as a law clerk for a federal judge serving in both the Eastern District of Wisconsin court and on selected cases in the 7th Circuit Court of Appeals.

  • As a young attorney served as Vice President, Treasurer and Director of the Young Lawyer Division of State Bar of Wisconsin; and as Treasurer and Director, Courts Committee Chairman, Milwaukee Junior Bar; Panelist in State Bar sponsored program related to Sarbanes-Oxley Securities Law.
  • Member of local economic development organizations (EDGE, a public-private committee Economic Development for Grafton Enhancement and Grafton Downtown Redevelopment Committee).
  • Chairman and Program Chairman, World Affairs Committee of Milwaukee (now part of UW-Milwaukee Institute of World Affairs). Frequent panelist and host of World Affairs Forum (Ch 12 TV)
  • Served as an officer, director or legal counsel of numerous organizations exempt from taxation under Sec. 501(c)(3), including charities and foundations, schools, and other types.
